What is the difference between registered and bearer shares?

Technip shares are generally held in “bearer” form, but can be “registered”. In the latter case, the shareholder is identified by the issuing company (Technip). There are two forms of registered shares:
-  pure registered share are held and managed directly by Technip;
-  administered registered shares are registered with Technip but managed by the shareholder’s chosen financial intermediary.

Dividends and tax treatment

What is Technip’s dividend policy?

Every year, after analyzing the results of the most recent year, the Board of Directors decides whether to propose a dividend payment. The continuity of its dividend policy is very important to Technip, which aims to maintain or increase the dividend from one year to the next. This proposal is submitted for a shareholders vote at the annual shareholders’ meeting.

What is the amount of the 2015 dividend recommendation of Technip’s Board of Directors?

What is the social contribution deduction on dividend income received by French tax payers?

Gross dividends received in 2015 by shareholders who are tax resident in France are subject to social contributions (15.50%) and income tax payable partly through a withholding tax of 21%.

What share price should I report if I am subject to the French wealth tax?

You may use either the closing share price at year end (45.74€ for 2015) or the average share price for the last 30 trading days of the year (46.97€ for 2015).

What are the French taxes applicable to dividends paid to a shareholder non-resident in France for tax purpose?

Based on the French tax rules a withholding tax of 30% of the dividends paid abroad is applicable. This tax is withheld by the French Bank in charge of paying Technip dividends so that the foreign shareholder receives a "net of tax" dividend.
It is worth noting that, in accordance with the provisions of the tax treaty signed between France and the State of residence of the foreign investor, this latter may obtain a full or partial repayment of the French withholding tax.

In this respect, foreign investors should consider the relevant tax treaty to determine if they are entitled to a reduction of the French 30% withholding tax. If the tax treaty provides for a withholding tax on dividends inferior to 30%, the foreign investor may claim a refund to the French tax authorities by filing a special return (form 5000 or 5001). This form is available online (www.impots.gouv.fr) and exists in various languages to facilitate the understanding of foreign investors (English, Portuguese, Spanish, German Dutch etc ....).

When was Technip created?

Technip was founded in April 1958 by the Institut Français du Pétrole. More information on Technip and our activities is available in the Profile section.

When did the merger between Technip and Coflexip take place?

In April 2000, Technip acquired a minority interest in Coflexip of approximately 29.7%. In July 2001, Technip launched a cash/exchange offer to acquire control of Coflexip. The Coflexip Board of Directors recommended the offer to its shareholders. The offer was successful, and Technip's interest in Coflexip was raised to 98.4% in October 2001. At that time, Technip changed its name to Technip-Coflexip and listed on the NYSE in New York. In July 2003, Technip-Coflexip raised its stake in Coflexip to 100% and changed its name back to Technip.
The ADRs were de-listed from the NYSE in New York on August 16, 2007. They are now traded on the US over-the-counter (OTC) market.
